Terms and Conditions for Resilient Wellness Coaching (Callie Strouf).

Please read these Terms of Use carefully before purchasing, accessing or using any of our Site, Programs, Products and Services.

These terms apply to your use of this website and all of the sites and services owned or operated by Resilient Wellness Coaching (Callie Strouf), also referred to as the “Company”. These terms also apply when you purchase any of our products or services on this Site including any group or individual coaching programs and any e-learning courses, books, or other products (collectively, our “Products”). Our Programs, Products, and Services are owned and operated by Callie Strouf (“Company”, “we”, or “us”). The term “you” refers to any purchaser and/or user of any of our Programs, Products, and/or Services. By accessing or using this Site or purchasing a Product, you agree to be bound by and to follow these terms.

Resilient Wellness Coaching is a Massachusetts based business with offices in Massachusetts and established under the laws of the state of Massachusetts. References in these Terms of Use or the Site or the Company refer to the Massachusetts business, unless indicated otherwise. Resilient Wellness Coaching operates this Site to provide online access to information about Resilient Wellness Coaching products, services, and opportunities provided and the applicable use thereof (the “Service”). These Terms of Use, together with applicable additional terms and conditions or agreements posted elsewhere on the Site, are referred to as this “Agreement”.

We reserve the right to modify these Terms and Conditions at any time, so please check this page periodically for changes. By using this Site or ordering a Product after we post any changes to these terms, you agree to accept those changes, whether or not you have reviewed them or been notified about them. If at any time you do not agree with these Terms and Conditions, please do not use our website or purchase from Resilient Wellness Coaching (Callie Strouf).

By purchasing or using any of our Programs, Courses, Trainings, Products, Website or Services (“Material”), you agree to abide by these Terms of Use as well as any other terms and conditions that may apply.

Your privacy is important to us! Please review our Privacy Policy for information explaining the information we collect and how we use it.

Use of Site

Unless otherwise specified, the Site is for your personal and non-commercial use. No right, title or interest in any Site content is transferred to you as a result of downloading such content or otherwise. You may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products or services obtained from the Site.

User Conduct

While using the Site you will comply with all applicable laws, rules, and regulations. In addition, the Company expects users of the Site to respect the rights and dignity of others. Your use of the Site is conditioned on your compliance with the rules of conduct set forth herein; and failure to comply with such rules may result in termination of access to the Site. You agree that you will not:

(a) Use the Site for any fraudulent or unlawful purpose.

(b) Use the Site to defame, abuse, harass, stalk, threaten or otherwise violate the legal rights of others, including without limitation others’ privacy rights or rights of publicity, or harvest or collect personally identifiable information about other users of the Site.

(c) Impersonate any person or entity, falsely state or otherwise misrepresent your affiliation with any person or entity in connection with the Site; or express or imply that the Company endorses any statement you make.

(d) Interfere with or disrupt the operation of the Site; or violate any requirements, procedures, policies or regulations of such any networks which function to make this Site available.

(e) Transmit or otherwise make available in connection with the Site any virus, worm, Trojan horse, spyware, or other computer code, file, or program that may be or is intended to damage or alter the operation of, or to monitor the use of, any hardware, software, or equipment.

(f) Restrict or inhibit any other person from using the Site.

(g) Post or transmit any content, information, or materials on or through the Site which is in any way infringing, obscene, defamatory, or otherwise objectionable or offensive.

(h) Reproduce, duplicate, copy, sell, resell, or otherwise exploit for any commercial purposes, any portion of, use of, or access to the Site.

(i) In any way gather Site content or reproduce or circumvent the navigational structure or presentation of the Site without the Company’s express prior written consent. The Company grants the operators of public online search engines limited permission to use search retrieval applications to reproduce materials from the Site for the sole purpose of and solely to the extent necessary for creating publicly available searchable indices of such materials. The Company reserves the right to revoke these exceptions.

You may download and reprint Content for non-commercial, non-public, personal use only. If you are browning this Site as an employee or member of any business or organization, you may download and reprint Content only for non-commercial purposes within your business or organization, except as otherwise permitted by Resilient Wellness Coaching and Callie Strouf.

Links to Third-Party Web Sites

If you use any links on the Site to websites not maintained by Resilient Wellness Coaching, you will leave Resilient Wellness Coaching’s Site. The linked sites are not under the control of the Company and the Company is not responsible for the contents of any linked site. The Company provides these links to you only as a convenience. The inclusion of any link does not imply recommendation, approval, verification of accuracy, or endorsement by the Company of the site.

Downloading Files

Any software or document that is made available to download from the Services (“Download”) is the copyrighted work of Resilient Wellness Coaching and/or its suppliers. Use of the Download is governed by the terms of this Agreement, or by an end user license agreement, if any, which accompanies or is included with the Download (“License Agreement”). Third party scripts or code, linked to or referenced from this website, are licensed to you by the third parties that own such code, not by the Company. Without limiting the foregoing, copying or reproduction of the download to any other server or location for further reproduction or redistribution is expressly prohibited, unless such reproduction or redistribution is expressly permitted by a license agreement accompanying such download.

Disclaimer of Warranties

Resilient Wellness Coaching makes no express or implied warranties, representations or endorsements whatsoever with respect to the site, the service or the content, unless otherwise specified in writing. To the fullest extent permitted by applicable law, the released parties expressly disclaims all warranties of any kind, express, implied, statutory or otherwise, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, with regard to the site, the service, the content, and any product or service furnished or to be furnished via the site. Resilient Wellness Coaching does not warrant or represent that the functions performed by the site or the service will be uninterrupted, timely, secure or error-free, that the sites, the materials, and/or other content on the sites are free from viruses, infringing material, or other harmful components, or that defects in the site or the service will be corrected. Resilient Wellness Coaching does not warrant or make any representations regarding the accuracy or completeness of the content or results of, the correctness, accuracy, reliability, timeliness, completeness, currentness, or otherwise, or that any errors in the content will be corrected. General Disclaimer

You (and not Resilient Wellness Coaching) assume the entire cost of all necessary servicing, repair, or correction relating to your use of the sites, the materials, and/or other content on the sites. Resilient Wellness Coaching shall not be liable for delay or failure in performance resulting from causes beyond Resilient Wellness Coaching’s reasonable control, including, without limitation, delays and other problems inherent in the use of the internet and electronic communications. Resilient Wellness Coaching is not responsible for any delays, failures, or other damage resulting from such problems. All content is provided for informational purposes only.

Limitations of Liability

IN NO EVENT WILL Resilient Wellness Coaching be liable for any loss or injury, or any damages, whether direct, special, indirect, punitive, incidental, exemplary, consequential, or otherwise, to any person or property or any other kind, resulting from your access or use of this site. No recovery may be sought or received for damages other than out-of-pocket expenses, except that the prevailing party will be entitled to all reasonable costs and attorneys’ fees. Resilient Wellness Coaching takes no responsibility and disclaims liability for any damages arising from any third party’s use of the site to launch denial of service attacks against other parties, or similar malfeasance. You hereby waive any and all such claims against Resilient Wellness Coaching, its officers, directors, partners, employees affiliates, and contributors. You agree that the Site and its materials would not be provided to you absent such limitations. Some state statutes may restrict this limitation of liability.

IF YOU ARE DISSATISFIED WITH ANYTHING ON OR RELATED TO THE SITE, SUCH AS THE SERVICE, THE CONTENT, OR WITH THE TERMS OF USE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE SITE.

Additional Terms of Use

If you purchase any paid Service from Resilient Wellness Coaching, such purchases may be subject to the additional terms and conditions associated with such purchases, including an associated Contract.

User Supplied Information

Any feedback, information, or other files in any form that you provide at this Site shall be deemed to be non-confidential. Resilient Wellness Coaching shall obtain the royalty-free, irrevocable, perpetual, worldwide right to use, distribute, display, and create derivative works from the feedback, without any restriction or responsibilities to you. By providing such feedback, information, or files, you guarantee to us that you have the legal right to post said feedback and that it will not violate any law or rights of any person or entity. By supplying your mobile phone number and/or email address to Resilient Wellness Coaching, you agree that Resilient Wellness Coaching may contact you by telephone, text message, or email, at the number(s) and/or email address(es) supplied, and you hereby contest to receiving such communications for transactional, operational, or informational purposes.

Payments for Online Purchases

Payment for your online purchases shall be made via credit card, Paypal, or other Company-approved payment method, as specified at the point of payment. By placing an order with us, you agree that we may charge your account the full purchase price, including all fees for shipping and all applicable taxes, immediately or, if you have elected an optional payment plan, in accordance with the payment plan schedule provided at the point of purchase. If your payment fails on the date that it is due, we may attempt to re-process your payment without notice. All prices and other dollar amounts are listed in US Dollars.

By placing an order with us, you represent and warrant that the credit card or payment account being used is yours, and/or that you are duly authorized to use the account, and you agree to indemnify and hold harmless Resilient Wellness Coaching, and each of its officers, directors, employees, contractors, coaches, representatives, agents, successors and assigns (each, a “Company Releasee” and collectively, the “Company Releasees”) from any and all damages or losses of any nature or kind, including attorney’s fees, that any Company Releasee may incur arising from any breach of or inaccuracy in the foregoing representation and warranty.

Every effort has been made to ensure the accuracy of prices, items, and availability of Products available through our Site; however, typographical or clerical errors do occur. Accordingly, we reserve the right to revoke any stated price and to correct any errors, inaccuracies or omissions including after an order has been submitted and whether or not the order has been confirmed and your credit card charged. If you credit card has already been charged for the purchase and your order is canceled, we will issue a credit or charge to your account in the amount of the charge. Images of any Products on the Site are for illustrative purposes only; actual Products may differ from such images.

We will email you to confirm the placement of your order and with details concerning products or service delivery. In the event that there is an error in this email confirmation or with emails (like spam folder stole it), it is your responsibility to inform us as soon as possible. Really, please let us know as soon as possible. We never want you to feel like you ordered something and we did not deliver, because that is awful.

In the event that payment is not received by the date due, the Program, Product or Services will not continue and we reserve the right to cease your access immediately and permanently. We reserve the right to charge a late fee of $100 added to your remaining payment.

In the event that you dispute a charge for a Program, Product, or Service your access will be revoked immediately.

If you fail to make your payment for any reason, you have 3 days to correct this or your access to the container will be revoked and you remain fully responsible for the full cost of the Programs, Courses, Products, or Services.

Cancellations, Refunds, and Program Rules

To support all coaching clients in realizing their coaching objectives, all purchases of conferences, intensives, and retreats and assessments are final and non-refundable unless otherwise outlined below.

It is our policy to provide all of our clients with the best learning and coaching experience bar none. It is our experience that the following policies best reflect our commitment to our clients.

The content in all of our materials is the property of Resilient Wellness Coaching (Callie Strouf), and is intended for personal use only. It is not to be duplicated, sold, shared, stolen, modified, copied, or repurposed. You understand that doing any of the aforementioned things is considered theft and we retain the right to take legal action against you.

If you participate in a live training, class, or coaching call, or if you are on video, Resilient Wellness Coaching (Callie Strouf) owns all the rights to this material and may use or distribute the content as they see fit.

The container structure is subject to change based on the Coach’s (Callie Strouf) discretion.

Soul Healer Academy Refund Policy

You have 5 days from date of purchase to request a refund for Soul Healer Academy. Contact Resilient Wellness Coaching at hello@resilientwellnesscoaching.com to request a refund. After 5 days, no refund will be given.

1:1 Coaching with Callie Strouf Refund Policy

There are no refunds available for 1:1 coaching with Callie Strouf. If you purchased a session with Callie it must be used within a year of the purchase date, or it is considered complete.

Termination

We reserve the right to terminate your participation in any of our Programs, Products, and Services at any time.

In the event of cancellation or termination by either of us, you will have 24 hours to pay any and all remaining payments or balances that are owed to us.

Non-disparagement

You agree that you will not engage in any conduct or communications with a 3rd party, public or private, designed to disparage the Resilient Wellness Coaching or Callie Strouf, including, but not limited to, any remark, comment, message, information, declaration, campaign, communication or other statement of any kind being verbal, in writing, electronic or otherwise that might be construed as derogatory, defamatory, libelous, or slander.

Finally, we reserve to the right to remove you from the program and withhold a refund, for any reason. For example: we may withhold a refund if you negatively impact someone else’s experience, share confidential material from this program produced by Resilient Wellness Coaching or other participants, promote yourself in our social media group and try and convince other participants to become your client(s), or participate in bad faith.

And if we decide to no longer provide support to a program, we will give you at least 30 days of warning to download all the trainings from our student portal so you will be able to have access on your own device, if you so choose.

Retreat Health And Well-Being Waiver

I (the client) voluntarily choose to participate in the retreat hosted by Resilient Wellness Coaching. I expressly assume all risks of the program including any physical or dietary changes. I take full responsibility for my own dietary and physical choices during this event, any injury or illness that occurs, up to and including death.

I am of sound mind and body and I release Resilient Wellness Coaching of any damages, claim of injury, lawsuits, allegations, and demands that I have now and in the future. I have read, understood and agree to the above statements.

Retreat Photography & Video

As a reminder, the client (you) understands that a purchase of a retreat is non-refundable. Furthermore, you agree to authorize Resilient Wellness Coaching and all subsequent successors of said company the right to video and photograph you, edit said videos and photographs, and use them as promotional or teaching materials for future events. You grant Resilient Wellness Coaching all rights of every kind to any promotional material (photo and video) taken at this event.

Claims of Copyright Infringement

Pursuant to 17 U.S.C. Section 512(c)(2), notifications of claimed copyright infringement should be sent to Service Provider’s Designated Agent. Resilient Wellness Coaching’s policy is to take action regarding allegations of copyright infringement reported to us in accordance with applicable law, including but not limited to the United States Digital Millennium Copyright Act (Details can be found at http://copyright.gov). To report an infringement, you must submit a written notice containing the following:

(a) Identification of the copyrighted content alleged to be infringed upon in sufficient detail to specify the copyrighted work;

(b) Identification of content constituting copyright infringement, including the specific internet address of said content;

(c) Name, address, telephone number, and email address, to allow Resilient Wellness Coaching to contact you regarding the claim;

(d) A statement that you have a good faith belief that use of copyrighted content is unauthorized;

(e) A statement under the penalty of perjury that all information provided in such notice is accurate, and that you are either the owner of the allegedly infringed copyright, or a person authorized to act on the owner’s behalf.

(f) A physical or electronic signature of the copyright owner or a person authorized to act on behalf of the owner.

Please note that this procedure is exclusively for notifying Resilient Wellness Coaching and its affiliates that your copyrighted material has been infringed. The preceding requirements are intended to comply with the DMCA, including 17 U.S.C. §512(c), but do not constitute legal advice. It may be advisable to contact an attorney regarding your rights and obligations under any applicable laws. Resilient Wellness Coaching may in its sole discretion limit access to the Sites and/or terminate the Accounts of any users who infringe any intellectual property rights of others, whether or not there is any repeat infringement.

Under federal law, if you knowingly misrepresent that online material is infringing, you may be subject to criminal prosecution for perjury and civil penalties, including monetary damages, court costs, and attorneys’ fees.

Choice of Law/Forum

You agree that all matters relating to your access to or use of the Site, including all disputes, will be governed by the laws of the United States and of the State of Massachusetts without regard to its conflict of laws provisions. You agree to the personal jurisdiction of and venue in the state and federal courts in Massachusetts, and waive any objection to such jurisdiction or venue.

General Provisions

Headings are inserted for reference and convenience only and in no way define, limit or describe the scope of this Agreement or intent of any provision. Wherever used herein, the singular will include the plural, the plural will include the singular, and pronouns will be read as masculine, feminine or neuter as the context requires. If any of the provisions of these Terms of Use are held by a court or other tribunal of competent jurisdiction to be void or unenforceable, such provisions shall be limited or eliminated to the minimum extent necessary and replaced with a valid provision that best embodies the intent of these Terms of Use, so that these Terms of Use shall remain in full force and effect. Other than as provided in any other written agreement you enter into with the Company, Resilient Wellness Coaching will not accept any counter-offers to these Terms of Use, and all such offers are hereby rejected categorically. These Terms of Use, Resilient Wellness Coaching’s Privacy Policy, and any signed written contracts between you and Resilient Wellness Coaching, constitute the entire agreement between you and Resilient Wellness Coaching with regard to your use of the Site, and any and all other written or oral agreements or understandings between you and Resilient Wellness Coaching with respect to such use are hereby superseded and canceled. Failure of Resilient Wellness Coaching to object to any provision contained herein, any purchase order or other communication, whether oral or written, from you will not be construed as a waiver of these Terms of Use, nor shall an acceptance by Resilient Wellness Coaching of any such provision. Any failure to enforce any provision of these Terms of Use by Resilient Wellness Coaching will not constitute or be construed as a waiver of such provision or of the right to enforce such provision. No waiver by Resilient Wellness Coaching of any condition or provision herein or therein will be considered a waiver of any other condition or provision herein or therein or of the same condition or provision at another time. No course of conduct between Resilient Wellness Coaching and you or any other party shall be deemed to modify any provision of these Terms of Use. You may not assign or transfer this Agreement or your rights under this Agreement, in whole or in part, by operation of law or otherwise, without our prior written consent. We may assign this Agreement in whole or in part at any time to any entity without your notice or consent. Any purported assignment by you in violation of this section shall be null and void. These Terms of Use shall not be interpreted or construed to confer any rights or remedies on any third parties. Any claim under these Terms of Use must be brought within one (1) year after the cause of action arises, or such claim or cause of action is barred. Claims made under separate terms and conditions are not subject to this limitation. In the event of any controversy or dispute between the Company and you arising out of or in connection with your use of the Site, the parties shall attempt, promptly and in good faith, to resolve any such dispute. If we are unable to resolve any such dispute within a reasonable time (not to exceed sixty (60) days), then either party may submit such controversy or dispute to mediation. If the dispute cannot be resolved through mediation, then the parties shall be free to pursue any right or remedy available to them under applicable law.

Anti-Discrimination Policy

This is a safe space for all people, especially BIPOC individuals. We believe Black Lives Matter and we will not stand for discrimination or harassment of any kind from our clients, participants, or members.

We will not tolerate any kind of bullying, scamming, or hate messages within our communities or DM’s. If you violate this, we can and will ban you from the community and block your profile from any and all social media sites.

Definition of Discrimination: Discrimination based on race, creed, religion, color, age, disability, marital status, or any other status protected by law.

Definition of Harassment: Any behavior in the work environment that is unwanted or offensive to the recipient, which creates a hostile, humiliating, or intimidating work environment.
